# Terms of Service

## 1. Purpose

These Terms of Service ("Terms") govern the rights, obligations, responsibilities, and other matters between Boutlet (the "Company") and users in connection with the use of the social networking, content sharing and monetization, AI-powered, and Web3-integrated services (collectively, the "Service") provided by the Company.

## 2. Definitions

1. **Service**: All services provided by the Company through the web or other media, including social networking, content publishing and viewing, AI features, community functions, and Web3 integration features.
2. **User**: Any member or non-member who agrees to these Terms and uses the Service.
3. **Member**: A user who creates an account in accordance with the procedures established by the Company.
4. **Content**: Any posts, comments, images, videos, files, links, and other information posted, uploaded, created, or shared by a user.
5. **Channel**: A space within the Service where users can publish content and communicate based on a specific topic or purpose.
6. **Paid Content**: Content that requires a digital asset payment in order to obtain access rights.
7. **Web3 Wallet**: An external wallet managed directly by the user, including but not limited to MetaMask and Phantom.
8. **x402 Payment**: A payment method using digital assets to obtain access rights to content or other rights to use the Service.
9. **Agent**: A feature that automatically performs information analysis, content generation, or Service-related functions based on artificial intelligence (AI) according to a user's request or predefined settings.

## 3. Effectiveness and Amendment of the Terms

1. These Terms become effective upon being posted on the Service or otherwise made available to users.
2. The Company may amend these Terms to the extent permitted by applicable laws and regulations and will provide prior notice of any material changes.

## 4. Registration

1. Membership registration is completed when a user agrees to these Terms and creates an account according to the procedures established by the Company.
2. The Company may refuse, suspend, or revoke registration in any of the following cases:

- Submission of false information
- Unauthorized use of another person's identity or email address
- Use of the Service for purposes that violate applicable laws or these Terms
- Any other improper or fraudulent purpose

## 5. Provision and Modification of the Service

1. The Company may modify the content, features, or methods of providing the Service.
2. The Company may modify, suspend, discontinue, or terminate all or part of the Service.
3. The Company may perform inspections, maintenance, or updates necessary for the stable operation of the Service.

## 6. Web3 Wallets

1. The Company does not store, manage, or control users' private keys, seed phrases, or wallet assets.
2. All Web3 wallet connections and blockchain transactions are performed through external wallets under the sole responsibility of the user.
3. The Company shall not be liable for wallet loss, hacking, incorrect transaction inputs, or transaction failures.
4. The Company does not custody, manage, hold, or control any digital assets belonging to users.

## 7. Paid Content and x402 Payments

1. Certain content within the Service may require digital asset payments to obtain access rights.
2. The Company is not a party to transactions between users and does not broker, guarantee, or assume responsibility for such transactions.
3. The Company does not provide currency exchange, money transmission, custody, or storage services for digital assets.
4. Due to the nature of blockchain networks, completed transactions may not be reversible or refundable.
5. Users are responsible for reviewing content pricing, network information, and applicable fees before making payments.
6. The Company shall not be liable for delays, forks, network failures, fee fluctuations, or third-party service disruptions related to blockchain networks.

## 8. User Obligations

Users shall not engage in any of the following activities:

1. Violating the rights of others or applicable laws
2. Interfering with the normal operation of the Service
3. Collecting data through unauthorized automated means
4. Unauthorized use of another person's account, wallet, or authentication credentials
5. Posting or distributing illegal content or false information

## 9. Content

1. Users retain ownership of and responsibility for the Content they publish.
2. Users may not publish or sell Content that falls under any of the following categories:

- Content that violates applicable laws
- Content that infringes intellectual property rights
- Unauthorized disclosure of personal information
- Malware, hacking tools, or illegal software
- Illegal financial services or investment solicitations
- Gambling or gambling-related content
- Any other content deemed inappropriate by the Company

3. The Company may remove, restrict access to, make private, or otherwise take action against Content that violates this Article.
4. Users grant the Company a non-exclusive license to use, display, reproduce, distribute, index, promote, recommend, and otherwise process their Content to the extent necessary for operating, promoting, and providing the Service.

## 10. Responsibilities of Content Sellers

1. Users who publish or sell Paid Content ("Sellers") bear full responsibility for such Content.
2. Sellers represent and warrant that their Content does not include any of the following:

- Content that violates applicable laws
- Content that infringes the rights of others
- False, misleading, or deceptive information
- Illegal investment solicitations or financial services
- Gambling or gambling-related content
- Any content that violates applicable laws or these Terms

3. Sellers are responsible for the accuracy, legality, and outcomes associated with their Content and must resolve disputes arising between users at their own responsibility.
4. The Company does not guarantee the content, quality, legality, or results of any Content published or sold by Sellers.

## 11. Reporting and Content Enforcement

1. Users may report Content that violates applicable laws or these Terms through the reporting features provided by the Company.
2. The Company may review Content based on reports received or through its own monitoring activities.
3. The Company may remove or restrict access to Content if it determines that the Content:

- Violates applicable laws or these Terms
- Infringes the rights of others
- Constitutes spam or malicious activity
- Significantly disrupts the operation of the Service
- Is otherwise deemed inappropriate by the Company

4. The Company may temporarily restrict access to Content while conducting a review.
5. The Company may investigate the validity of reports and request supporting materials when necessary.

## 12. Account Enforcement and Service Restrictions

1. If a user violates these Terms or applicable laws, the Company may take one or more of the following actions:

- Warning
- Content removal
- Content access restriction
- Channel access restriction
- Temporary account suspension
- Permanent account termination

2. The Company may determine the level of enforcement based on the severity, frequency, and intent of the violation.
3. The Company may permanently terminate an account without prior notice in any of the following cases:

- Repeated violations of these Terms
- Distribution of illegal content
- Account theft, impersonation, or fraudulent activities
- Attempts to compromise the security of the Service
- Automated malicious activities or large-scale spam
- Any activity causing significant harm to the Company or other users

4. The Company may remove or retain relevant Content as necessary in connection with enforcement actions.

## 13. Disclaimer

1. Information, Content, and AI features provided through the Service are provided for informational purposes only and do not constitute investment, legal, tax, or other professional advice.
2. The Company shall not be liable for digital asset price fluctuations, market conditions, or users' investment decisions.
3. The Company does not guarantee the accuracy, legality, completeness, or outcomes of Content published or sold by users.
4. The Company shall not be liable for losses arising from transactions, disputes, or the use of Content between users.
5. Results, analyses, generated content, or actions performed by Agents are provided for reference purposes only, and users bear sole responsibility for any decisions or actions taken based on them.
6. The Company does not guarantee the accuracy, legality, completeness, or fitness for a particular purpose of AI-generated Content.

## 14. Governing Law and Jurisdiction

1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea.
2. If mandatory provisions of the laws of a user's country of residence apply and take precedence over these Terms, such mandatory provisions shall prevail.
3. Any disputes arising between the Company and users shall be subject to the jurisdiction of the courts of the Republic of Korea in accordance with applicable procedural laws.

## 15. Miscellaneous

1. These Terms are originally drafted in the Korean language.
2. In the event of any discrepancy or inconsistency between translated versions and the Korean version, the Korean version shall prevail.
